Saxton Bampfylde: Considerations Before Becoming a Senior Independent Director

A recent report from Saxton Bampfylde examined the role of Senior Independent Directors (SID). The 2003 Higgs report into board governance recommended that all UK Boards appoint a SID to their board. The role of the Senior Independent Director is to act as a sounding board and intermediary for the board chairman.

Saxton Bamfylde’s report found that the Senior Independent Director does a lot more than act as an intermediary. Interviews with FTSE Board Directors reveal the added value that SIDs provide, as well as what describing the characteristics that are needed to become a successful SID. Among the findings:

  • Good interpersonal skills
  • Ability to take charge
  • Balance multiple demands
  • Work efficiently in a changing environment
