AESC WEBSITE TERMS OF USE

Please read these Terms and Conditions carefully before using this site. We recommend that you print a copy for future reference.

1. Introduction

1.1 These terms of use (together with the documents referred to in them) (the “Terms”) set out the terms on which you may make use of the website available at www.aesc.org, members.aesc.org, and bluesteps.aesc.org (together, the “Site”). Use of this Site includes accessing, browsing or registering to use this Site.

1.2 By using this Site, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms of Use, you must not use this Site.

1.3 If you are employed by an executive search or leadership consulting firm that is a member of the Association of Executive Search and Leadership Consultants (“AESC”), your firm’s AESC membership is subject to additional Terms and Conditions. Please note that these Terms of Use apply in addition to such Terms and Conditions. In particular, these Terms of Use apply to your use of the Site regardless of whether your employer is a member of AESC or not. In the event of any conflict between these Terms of Use and the Terms and Conditions governing your firm’s AESC membership, those Terms and Conditions shall prevail.

1.4 These Terms refer to the following additional terms, which also apply to your use of this Site:

(a) Our Privacy Policy, which sets out the terms on which we process personal data. By using this Site, you warrant that all personal data provided by you to us is accurate.
(b) Our Cookie Policy which sets out information about the cookies on this Site.

2. Information about us

2.1 This Site is a site operated by the Association of Executive Search and Leadership Consultants (together, the “AESC”, “we”, “us” and “our”). We are contactable at:

3. Accessing this Site

3.1 This Site is made available free of charge.

3.2 We do not guarantee that this Site, or any content on it, will always be available or be uninterrupted. Access to this Site is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of this Site without notice. We will not be liable to you for any reason if this Site is unavailable at any time or for any period.

3.3 You are responsible for making all arrangements necessary for you to have access to this Site.

3.4 You are also responsible for ensuring that all persons who access this Site through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.

4. Your account and password

4.1 If you choose, or you are provided with, a username, password or any other information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

4.2 We have the right to disable any username or password, whether chosen by you or allocated by us, at any time, if we, in our sole discretion, determine or believe that you have failed to comply with any of the provisions of these Terms.

4.3 If you know or suspect that anyone other than you knows your username or password, you must promptly notify us at info@aesc.org.

5. Communications

5.1 By supplying my contact information for AESC resources or newsletters, I authorize AESC to contact me with personalized communications about AESC content and programs. I acknowledge that I may withdraw my consent and opt-out at any time. I understand I will receive such communications until I unsubscribe. 6. AESC Member Resources

6.1 If you are employed by an executive search or leadership consulting firm that is a member of AESC, you have, or can request, an account and password to access additional AESC member resources. These AESC member resources are exclusively for employees of AESC member firms ("Members"). If you are not a Member, you may not access AESC member resources.

6.2 Member resources include access to the International Search Firm Directory, a directory of Member executive search and leadership consultants (the "Directory"). Members can access the Directory to view information about other AESC Member executive search consultants. This information should be kept confidential.
(a) From time to time Members may receive communications from other users of the Directory, including other Members, clients and prospective clients of executive search and leadership consulting ("Clients"), and candidates and prospective candidates who are members of BlueSteps ("Candidates"). These communications should be treated as confidential.
(b) Members wishing not to appear in the Directory may contact us at info@aesc.org or +1 212-398-9556 to request removal, without losing any other benefits of AESC membership. More information about how we handle Member data can be found in our Privacy Policy.

6.4 Member resources include other documents and information (e.g., advice on Government and Legal Affairs, Best Practices Documents) that may not be shared or distributed unless explicitly stated otherwise (i.e. when documents or templates are provided by AESC with the clear intent that Members will share them with Clients).

7. Resources for Clients of Executive Search

7.1 Client resources include access to the Directory. Clients can access the Directory to view information about AESC Member executive search consultants. This information should be kept confidential.

8. Intellectual property rights

8.1 We are the owner or the licensee of all intellectual property rights in this Site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

8.2 You may print one copy, and may download extracts, of any page(s) from this Site for your personal use.

8.3 You must not modify the paper or digital copies of any materials you have printed or downloaded in any way, and you may not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text without our prior written consent.

8.4 Our status (and that of any identified contributors) as the authors of content on this Site must always be acknowledged.

8.5 You must not use any part of the content on this Site for commercial purposes without obtaining a licence to do so from us or our licensors.

8.6 If you print, copy or download any part of this Site in breach of these Terms, your right to use this Site will cease immediately and you must, at our option, return or destroy any copies you have made of the materials.

9. No reliance on information

9.1 We use reasonable efforts to ensure that the content on this Site is accurate and up-to-date, but we appreciate that errors or omissions may from time to time occur. We make no representations, warranties or guarantees, whether express or implied that the content on this Site is accurate, complete or up-to-date.

9.2 The content on this Site is provided for general information only. It is not intended to amount to advice on which you should rely. You should obtain independent, professional or specialist advice before taking, or refraining from, any action on the basis of the content on this Site.

10. Limitation of our Liability

10.1 Nothing in these Terms of Use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10.2 To the maximum extent permitted by applicable law, we exclude all conditions, warranties, representations or other terms which may apply to this Site or any content on it, whether express or implied.

10.3 We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

(a) use of, or inability to use, this Site; or
(b) use of reliance on any content displayed on this Site

10.4 We have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

10.5 We assume no responsibility for the content of websites linked on this Site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

11. Uploading content to this Site

11.1 In the event that you upload any content to this Site (such as your CV or résumé) you:

(a) warrant that you have all necessary rights, permissions and authorisations to disclose that content to the AESC in the context of the Site; and
(b) grant the AESC a worldwide, royalty-free, sub-licensable, perpetual, irrevocable licence to use, re-use, copy, reproduce, revise, publish, disclose, transmit and transfer all, or any portion, of such content.

12. Viruses

12.1 While we take reasonable care in managing this Site, we do not guarantee that this Site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform in order to access this Site. You should use your own virus protection software.

12.2 We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of this Site or to your downloading of any content on it, or on any website linked to it.

12.3 You must not misuse this Site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to this Site, the server on which this Site is stored or any server, computer or database connected to this Site. You must not attack this Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you may commit a criminal offence under applicable law. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use this Site will cease immediately.

13.1 You may link to the home page of the Site, provided you do so in a way that is fair and legal and does not damage our reputation or take unfair advantage of the Site.

13.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists without our prior consent.

13.3 You must not establish a link to this Site in any website that is not owned by you.

13.4 This Site must not be framed on any other site, nor may you create a link to any part of this Site other than the home page.

13.5 We reserve the right to withdraw linking permission without notice.

15.1 We may revise these Terms of Use at any time by amending this page without notice. Please check this page from time to time to take notice of any changes we made, as they are binding on you.

15.2 We may update this Site from time to time, and may change the content on the Site at any time. However, please note that any of the content on this Site may be not fully up to date at any given time, and we are under no obligation to update it.

15.3 The Terms, their subject matter and their formation are governed by United States law and are subject to the exclusive jurisdiction of the courts of the United States of America.
